What is a limited liability corporation?

A limited liability corporation is just another name for a limited liability company. A limited liability company, which is also called an LLC, is a business structure that combines the pass through taxation of a partnership or sole proprietorship with the limited liability of a corporation.

Like the owners of a partnership or sole proprietorships the LLC owners have to report their business profits or losses on their personal income tax returns because the LLC is not a separate taxable entity. But unlike these owners if you own an LLC you are not personally responsible for the business debts and claims, you are protected from any personal liability unless you have given a personal guarantee, this is what is known as limited liability. Basically what this boils down to is that if somebody sues the LLC then only the assets of the business itself are at risk, your personal assets are considered safe. But what you want to keep in mind is that you can lose this protection of your assets if you act illegally, unethically, or irresponsibly.

But it is because of these features that many people say that a limited liability company is nothing more than a hybrid business structure that takes the best features of a partnership and a corporate business structure. Meaning this business structure combines these two forms of business, but only uses the best features from each form.

How many people do I need to form an LLC?

Many people wonder how many people you need to form a LLC because of the fact that it combines various business structures. The good news is that you only need one person to form an LLC and you can form an LLC in any state. But you can also have more than one owner when forming an LLC.

Who should form an LLC?

If you are concerned about personal exposure to lawsuits or debts arising from your business than you should seriously think about forming an LLC. A great example of this would be if you were opening up a store front business that deals directly with the public you might be worried about your commercial liability insurance not fully protecting your assets from customers suing you from slipping and falling or something else. So by forming an LLC your personal assets are protected from these types of claims and any others.

But something that you want to keep in mind before you decide to form an LLC is that not all business can operate as an LLC. Businesses that are in the banking, trust and insurance industry are generally prohibited from forming LLC?s in every state. Also in some states, including CA, there is a rule that prohibits professionals, such as accountants, doctors, architects and other professionals from forming an LLC. So if you are considered to be some kind of professional you want to check into your state laws to see if you can form an LLC or not.

How do you form an LLC?

This is going to vary depending on which state that you live, but for the most part this is a pretty universal process. All that you really need to do is to file an ?Articles of Organization? with your state?s LLC filing office. In most states this filing office is going to be a part of the Secretary of State?s Office. But in addition to filing the ?Articles of Organization? you are going to have to pay a filing fee. Keep in mind that some states refer to these forms as a ?Certificate of Organization? or a ?Certificate of Formation?. But no matter what it is referred to most states will provide a fill in the blank form for you to use and these only take a few minutes to prepare. You can get this form by mail or by downloading it from your state?s website, in the Secretary of State or corporation?s home page.

Some states will also require you to publish your intention to form an LLC in your local newspaper. The states that require this also require that you complete this step before you file your Articles of Organization. Some states, but not very many, will also require you to prepare an LLC Operating Agreement. And even if it is not required in your state it is still a good idea to prepare one. The reason that you want to do this regardless of your state requirements is because your Operating Agreement is going to spell out your business arrangements and it will also decide how your LLC is run. If you fail to create a written Operating Agreement then the LLC laws of your state will dictate how your LLC is run.

Do I need a lawyer to form an LLC?

The good news is that you do not need to have a lawyer to form an LLC, but if you want to use one you can. The reason that you don?t need to hire a lawyer is that the information that is required for the Articles of Organization is all non-technical information so it is easy enough for you to fill out on your own. Basically what the Articles of Organization include are the name of the LLC, the location of its main office, the names and addresses of the owners, and the name and address of the LLC?s registered agent. The registered agent is a person or company who agrees to accept legal papers on behalf of the LLC. Not to mention that since most states now provide downloadable forms and instructions the process to file for an LLC is even easier and the LLC offices even allow business owners to email them questions directly.

Does my LLC need an operating agreement?

This is not required by all states, but it is something that you should do if you plan on starting a business. Here are the main reasons why an operating agreement is necessary:

• Ensures that the courts will respect your personal liability protection because you are showing them that you have been conscientious about organizing your LLC
• Helps to avoid misunderstandings among the owners over finances and management
• Sets out the rules that govern how the profits will be split up, how major business decisions will be made, and the procedures for handling the departure and addition of members
• Allows you to create your own operating rules rather than being governed by the default laws in your state. Which these state laws might not work to your benefit

How are LLCs taxed?

LLCs are not considered a separate entity from its owners for tax purposes. So this means that an LLC does not pay any income taxes itself. Instead what happens is that the owners of the LLC pay taxes on their allocated share of profits or they get to deduct their share of business losses on their personal tax returns. But the thing with an LLC is that you can choose how you want it to be taxed, so you can also choose to have your LLC taxed like a corporation. This can be useful because it can reduce taxes for LLC owners who need to retain a large amount of profits in the company.

Can I convert my existing business to an LLC?

The good news is that yes you can convert your business to an LLC. In fact converting a sole proprietorship or a partnership is an easy way for the business owners to protect their personal assets without changing the way that their business income is taxed. And some states even provide a simple form for converting a partnership to an LLC; this form is usually called a ?Certificate of Conversion?. If your state does not provide this form then you will need to file regular Articles of Organization to create an LLC.

And just like in forming an LLC some states require a partnership to publish a notice in the local newspaper that the partnership is being terminated before the partnership can officially convert to an LLC. But no matter what state you live in you are going to have to transfer all identification numbers, licenses, and permits to the name of your new LLC. Some other things that you will need to transfer over are:

• Federal identification number
• State employer identification number
• Sales tax permit
• Business license or tax registration
• Any professional licenses or permits

What are the differences between a limited liability company and a partnership?

The biggest difference between an LLC and a partnership is that in an LLC the owners are not personally liable for the company?s debts and liabilities. What this boils down to is that creditors cannot go after the owners? personal assets to pay off the businesses? debts. And the only way that this can happen in a partnership is if the partner is designated as a ?limited? partner in the partnership agreement. Another big difference is that when you are forming a partnership you do not need to file any formal paperwork or pay any special fees.

Girlfriend moving for job, doesnt want me to come?

I apologize if this is a little long but please read through because this advice means alot to me.

Me and my girlfriend have been dating for a little over 2 years now. When we met she was graduating with her master's degree in urban planning. I was just starting school then. I am 25 now and I had put off college before because i didnt grad. high school and by time i got my life together and go my GED and applied to college i was 18. I met a girl then that was a year into college for her nursing degree. We both lived with our parents and wanted to get a place together but couldnt afford it both as full-time students. So we decided that since she was further in school and i hadnt started yet that i would work 2 jobs and pay the bills and a third of her tuition while she attended college and worked part-time. Once she graduated she would pay for my school and i would not work at all to grad faster.After three and a half years, her graduation was on a friday and she broke up with me on Thursday.

Moved back into my parents and eventually got myself back on my feet in my own place, met the girl i am currently dating and started school. Our relationship over the past 2 years has been very up and down. The first 10 months or so were amazing and we never fought and started to care alot for eachother. We started getting into fights alot later and would break up and get back together for a couple months then do it again and again. Our last break up was about 2 months ago.

She graduated with a 6yr degree and has been looking for a job in her field for 2 years and has found nothing.Her job currently is an administrative assitant to the mayor of a small city, not horrible but its not a job but it is not a job that requires a masters degree. Repeated rejection letters made her pretty depressed and caused issues in our relationship. She got a call from a job in South Carolina she interviewed with and they want to offer her a position. We discussed everything when she interviewed and decided that even though she doesnt want to live together before we are married that this would be an exception and we could take our relationship to the next level.

Tonight she tells me that she wants me to come but thinks i should not move down until 6 months after she does. She said she wants to get settled in and is worried i am giving up to much for her. I am not able to be ok with that. Long distance relationships just do not work, even if the relationship is strong they have trouble and ours is not the strongest. I do not think we are in a place to put that much pressure on the relationship. I love this girl and want to marry her, i told her that i would be fine transfering jobs and states a fresh start would be good for us. I thought about this decision alot because i made this mistake before.

I told her that i was not ok with her moving down there and me waiting here for 6 months in Ohio, and to not call me until she has decided on wether or not she wants me to move with her within a month of her move.

Any advice on why she feels this way or what i should do would be greatly appreciated, thank you for your time.

The pain from recently announced job cuts by AMD could ripple out to the Linux community, as the chipmaker has shut down a small but important Linux OS research facility in Dresden, Germany. The center housed 25 employees who helped port AMD technology like PowerNow over to new Linux distros, and according to The H, many engineers who submitted major processor and chipset revisions for the OS would be pink slipped. The closure won't affect GPU and APU development, according to the source, but it's not yet known exactly who will pick up the slack from the former Dresden team -- though the research center in Austin Texas is reported to be a likely bet.

Paul Davies, co-author of New Solutions, takes a look back at when technology first appeared in the classroom and offers a warning about its use in today?s classrooms.

Visiting my children?s primary school the other day, I picked up a bottle of PVA glue from a table and gave it a little sniff. I?m not a habitual glue-sniffer, but I?d noticed that it was the same type of adhesive we used to have at my own primary school decades earlier and I knew the smell would be evocative. For a moment, I was reliving my schooldays.

I left secondary school in 1984, around the time when computers were beginning to have an impact in education. That year, the eminent British semiotician Daniel Chandler wrote: ?The mirocomputer is a tool of awesome potency which is making it possible for educational practice to take a giant step backwards.?

What did he mean? Chandler was no Luddite: he embraced new technology and worked to develop early educational software in collaboration with the BBC. His fear, however, was that educators might be so beguiled by the novelty of the latest classroom technology (in those days, a PC the size of a fridge) that they failed to pay enough attention to the underlying pedagogy. He warned that computers should be viewed not as potential teaching machines but as aids to student expression because, put bluntly, computers can?t teach. They deal in information, not knowledge.

More than a quarter of a century later, Chandler?s warning still applies. Even today, many on-screen language games are basically stimulus and response, often with canned applause or some other audio/visual reward for a correct answer. Short of locking students in a box and dispensing food pellets through a chute if they pull the right lever, this is about as close to Skinnerian behaviourism as you can get. It is an approach to education that has been out of vogue for over half a century.

While Skinner deliberately excluded as irrelevant anything which goes on inside the mind so that he could focus solely on directly observable behaviour, subsequent theories of learning have taken the mind as a starting point: constructivism, brain-based learning, NLP, and so on.

Today, educationalists talk about how students construct knowledge through their interaction with information; they don?t talk about how best to condition students to respond in a certain way (except perhaps with certain aspects of classroom management). However, with the advent of new technology, unbounded behaviourism has re-emerged in the classroom ? not because the pedagogy involved has been reconsidered but because, more often than not, it hasn?t been considered at all.

Leaving aside distinctions between the various platforms (PC, laptop, tablet, phone) which in any case appear to be converging, you can divide technology-based activities into two broad categories: A) things which simply couldn?t be done before the relevant technology was on offer, and B) things which have a more traditional equivalent. We shouldn?t assume that activities in either category are necessarily worthwhile, although they might well be.

In category A, a live chat with a class of children on another continent could prove a rich learning experience, while a video game in which you zap adjectives with a ray gun may do little more than keep students quiet for a while. In category B, the key question is whether the technology-based activity is a clear improvement on its precursor. Using an app to plan and monitor your revision timetable makes a lot of sense. But why should we always opt for PowerPoint projects over physical posters? ?Because we?ve just bought a load of iPads? is not a good enough reason.

And what about the children whose learning styles are better suited to physical, rather than on-screen, cutting and pasting? Shouldn?t they have the opportunity to put the electronic devices away for a while and get out the scissors and glue? After all, you can?t sniff an iPad.

I subscribe to a great number of free online newsletters that cover cleantech at a fairly broad level, and though I certainly don?t read every word, I do glance through them. If you have a spare minute, I would ask you to check out this article from SmartGridNews, and tell me what you think.

What it showed me is that the world, even here in the U.S., is quietly making significant progress towards a new, clean electrical grid. Each day, a large collection of different types of companies are making terrific headway in this space. One could break this out as follows:

? Industrial giants like GE, Siemens, Schneider Electric, Johnson Controls, Itron, and Honeywell

? IT titans like Google, Microsoft and Cisco

? Smaller enterprises working in specific disciplines within smart grid, batteries, EV charging, solar, wind, biomass, hydro, geothermal, energy efficiency, biofuels, etc.

? The fossil fuel energy industry, many of which see the proverbial handwriting on the wall.

Politicians may be noisily snubbing clean energy, but, fortunately for us all, the reality behind the scenes is going in a different direction.

But while we?re on the subject of politics, how can the world of Washington and business be so far apart? The answer that I accept came from a keynote address at one of last year?s Renewable Energy Finance Forums, by Pennsylvania?s ex-governor Ed Rendell, who pointed out:

There are too many special interests arrayed against renewables. Over 90% of Democrat voters are in favor of Congress passing legislation that prioritizes clean energy. In fact, over 75% of Republican voters are in favor of the exact same thing. Clearly, the will of the American people is being frustrated by special interests.

Together, we can do this, but we can?t do it inside the Beltway. The lobbyists are raising campaign money for our senators and representatives in Washington seven days a week. It never stops. It never stops. There are fund-raisers happening literally every night. If change is going to happen, it needs to take place in hometown America.
As sickening as that is, it?s heartening that the business world is heading in the right direction, regardless of the misdirection it may be receiving from government.

Whatever the precipitating event, the Failure to Thrive causes a competent and talented older adult to seemingly waste away, physically, mentally and psychologically. The elderly senior with AFTT shows a significant overall decline. Their risk for disability, infection and mortality are increased.

As a Caregiver, once past the alarm of the situation, you will want to review all of their medications with their primary physician and/or pharmacist. You will want to look at each medication?s side effects and how they all interact with each other.

Check with a nutritionist or dietician to see what foods should be added to their diet, and which eliminated. Your doctor may suggest some supplements to increase weight gain.

Keep communication lines open and active. Rally the family and any friends to phone more often and visit. Include your loved one in one to one activities and family gatherings. Many older people who live alone don?t eat as well. Have a meal with them as often as you are able. Don?t prod but try to listen to their fears, concerns, needs and ask attentive questions.

Try to engage them in some type of mental or physical activity. Go for a walk, watch television together, play cards or do a puzzle.

Seek professinal help for counseling.

As a caregiver to a loved one afflicted with AFTT, you yourself may likely need or benefit from respite time. Hiring a caregiver a few hours a week can help give you time away to care for yourself and ?recharge? a bit so you will have new energy to manage the symptoms of your family member.

It can be very difficult to engage someone with AFTT. That is part of the syndrome. Show that you care about them and value them. Learn more about AFTT and what you can do to help them through it or deal with the loss if they do not improve. AFTT is in fact a trigger diagnosis for Hospice care.
